These Terms of Services describe the terms under which you, an account holder and Designated User ("You" or “Your”), may access and use the CORE Education and Consulting Solutions, Inc. (“CORE K12”) service (the “Service”) available at the designated CORE K12 website (“the Website”).

CORE K12’s Website and Service is provided to schools pursuant to agreements with each school or district. You are permitted to access this Website and use the Service only if Your school /district has entered into such an agreement with CORE K12 (the “Agreement”) and only if Your school/district has provided You an account making You a Designated User.

By accessing and using Your account, You agree to comply with these Terms of Service which include, by incorporation, the terms and conditions for Designated Users described in the Agreement. You may obtain a copy of the Agreement or information regarding the terms of the Agreement from Your school/district.

In addition to the terms of Agreement , You agree:

• Not to use the CORE K12 Website to infringe, or contribute to the infringement, upon the copyright or other intellectual property rights of CORE K12 or anyone else;
• Not to misappropriate the intellectual property of CORE K12 by copying or using the Website, or the content therein, for other than its intended purpose
• Not to upload to, distribute through, or otherwise publish through the CORE K12 Website any content that is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal or otherwise objectionable or that would constitute or encourage a criminal offense, violate the rights of any party, or otherwise give rise to liability or violate any law;
• Not to permit another person (other than a Designated User’s parent) to use Your account, username or password;
• To maintain in confidence and to not disclose to any third party (without required permission) the account, username or password or any other personally identifiable information of another Designated User; and
• To comply with any other terms or rules posted on this Website

CORE K12 reserves the right, without notice and in its sole discretion, to remove any content from its Website, and to deny access to all or any part of the Website. CORE K12 further reserves the right, with notice to the school/district, to modify the Terms of Service. Your continued use of the Website and the Service constitutes acceptance of such additional terms. ("You").

CORE K12 uses commercially reasonable efforts to include accurate information on its Website, but disclaims any responsibility for the accuracy, content or availability of information found on its Website. Information contained on the Website is provided on an “As Is” basis and CORE K12 MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. Further, CORE K12 disclaims any responsibility for the accuracy, content or availability of information found on a site that links to or from the Service (“Third Party Site”). CORE K12 may offer links to, or incorporate into the Service, Third-Party Sites that offer various products and/or services. CORE K12 may refer to such Third-Party Sites, or such Third-Party Sites may refer to the Service, as "associates". Nevertheless, CORE K12 does not ensure that users will be satisfied with any products or services that are purchased from such a Third-Party Site, such Sites being owned and operated by independent retailers. CORE K12 does not endorse any of the Third-Party Site services or merchandise, nor has it taken any steps to confirm the accuracy or reliability of any of the information contained in any Third Party Sites. CORE K12 does not make any representations or warranties as to the security of any information (including credit card and other personal information) Designated Users might be requested to give a Third-Party Site. CORE K12 strongly encourages Designated Users to make whatever investigation such users feel necessary or appropriate before proceeding with any online or offline transaction with any of such third parties.

TO THE EXTENT PERMITTED BY LAW, CORE K12 DISCLAIMS AND OTHERWISE HAS NO LIABILITY FOR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES WITH RESPECT TO THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES CONTAINED ON OR OTHERWISE ACCESSED THROUGH THE WEBSITE, INCLUDING DAMAGES RELATED TO LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION, ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE WEBSITE, INCLUDING WEBSITES LINKED TO THE WEBSITE. CORE K12 DOES NOT WARRANT THAT THE WEBSITE, ITS SERVERS OR INFORMATION OR E-MAILS SENT FROM CORE K12 OR THROUGH THE WEBSITE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. OUR OBLIGATION TO PAY ANY DAMAGES HEREUNDER WILL IN ANY EVENT BE LIMITED TO A RETURN OF AMOUNTS PAID BY THE SCHOOL TO CORE K12 FOR THE SERVICE DURING THE TWELVE MONTH PERIOD PRIOR TO THE CLAIM FOR DAMAGES.

The Service may present information, data, content, software, video, audio and other materials and services, communications, transmissions and other items, tangible or intangible, which are referred to as "Materials." All Materials are protected by laws for the protection of intellectual property and are owned by CORE K12 or by an affiliated company or a third-party. Designated Users shall have no rights of ownership in or to the Materials and will not use any Materials, except as permitted under the Agreement, including any license terms accompanying the Materials. Designated Users may not do anything with the Materials except in accordance with instructions and license terms for the Service.

If You, as a Designated User, download software from the Service, the software, including any documentation, files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") are subject to license terms contained in the Agreement. You shall comply with these license terms as well as any additional license terms provided on downloading or installation, or accompanying or incorporated into, any Software You or download. CORE K12 retains full and complete title to the Software, and all intellectual property rights therein. You and your Designated Users may not redistribute, sell, decompile, reverse engineer, disassemble or otherwise reduce the Software to a human-readable form.
